TERMS AND CONDITIONS OF SERVICES

PREAMBLE

These Terms and Conditions of Services (as amended and/or updated from time to time, the "Agreement") are entered into between Unik Travels LLC ("Unik Travels"), a limited liability company organized under the laws of the State of Illinois, with its principal place of business at 330 N Wabash St, 23-156, Chicago, Illinois, 60611, USA, and Employer Identification Number (EIN) 35-2641348, which operates under the trade names Vilu Travel Designers, Balam DMC Mexico, Mai Vilu, Vilu Safaris, as well as any other trade names that Unik Travels may operate under now or in the future (collectively, the "Brands"), and the individual or entity accepting these terms (the "Client").

Any reference in this Agreement to Unik Travels shall include all of its Brands, and the Services may be provided and marketed under any of them interchangeably.

For purposes of this Agreement, the term "Website" means the following URL: https://www.vilutravel.com

EFFECTIVE DATE AND ACCEPTANCE

This Agreement shall become effective on the earliest of the following dates: (i) the date on which the Client accepts this Agreement through the Website; (ii) the date on which the Client accepts any Quotation; or (iii) the date on which Unik Travels begins providing the Services (the "Effective Date").

By accepting this Agreement, the Client represents and warrants that: (a) the Client has full legal capacity to be bound by the terms hereof; (b) the Client has read and understands the scope and obligations contained herein; and (c) the Client accepts this Agreement in its entirety. If the Client does not have the legal capacity to enter into this Agreement or to bind the Client on whose behalf the Client is acting, the Client should not accept these terms.

This Agreement, together with the quotation for Services that Unik Travels sends to the Client (the "Quotation"), governs the Services and sets forth the terms and conditions for the provision thereof.

DIGITAL ACCEPTANCE

Acceptance of this Agreement shall be made electronically through the Website by registering personal data and uploading a copy of a passport, government-issued identification (such as a driver's license, state ID, or other identification issued by a competent authority), whether current or expired, or any other identity document that Unik Travels may require, as well as the express acceptance of these Terms and Conditions and the Privacy Policy of Unik Travels.

Such electronic acceptance shall constitute the Client's manifestation of consent and shall have the same validity and legal effect as a handwritten signature, in accordance with the Electronic Signatures in Global and National Commerce Act (E-SIGN Act) and the Uniform Electronic Transactions Act (UETA) as adopted by the State of Illinois. As evidence of such acceptance, Unik Travels shall store on its servers the date, time, IP address, device information, and other technical data of the session in which acceptance was made, which may be used as evidence of the execution of this Agreement.

1. PROVISION OF SERVICES

1.1 Scope.

Unik Travels shall provide the Client, directly or through its employees, agents, and/or subcontractors, the following services (the "Services"):

(a) Advisory, consulting, and design of personalized itineraries for travel and experiences;

(b) Intermediation and management of reservations with suppliers of the Components of the trip;

(c) Monitoring, verification, and coordination of the trip or experience; and

(d) Delivery of the corresponding travel documentation.

1.2 Agency Relationship.

As part of the Services, Unik Travels shall act exclusively as an intermediary and booking agent on behalf of the Client. The Client hereby appoints Unik Travels as its agent for the limited purpose of making reservations and processing payments to the corresponding suppliers with the funds advanced by the Client.

The Client acknowledges and accepts that Unik Travels acts exclusively as an intermediary between the Client and the final suppliers of the Components of the trip, including but not limited to airlines, hotels, tour operators, transportation companies, cruise lines, travel insurance providers, restaurants, and any other service providers. Unik Travels is not the direct provider of such services.

1.3 Planning Fee.

As compensation for the advisory, itinerary design, and coordination Services, the Client shall pay Unik Travels a per-person planning fee (the "Planning Fee"), the amount of which shall be determined by Unik Travels and specified in the Quotation. The Planning Fee shall be paid in two installments: the first half at the time of the initial trip payments, and the second half upon delivery of the travel documentation. The Client acknowledges and accepts that the Planning Fee is non-refundable in the event of cancellation of the trip by the Client, unless Unik Travels, at its sole discretion, determines otherwise.

1.4 Itinerary Design Fee.

Unik Travels may charge a fee for the preparation of the itinerary prior to the quotation stage, the amount of which shall be communicated to the Client before initiating such process. If applicable, the itinerary shall not be delivered to the Client until such fee has been paid in full.

1.5 Additional Compensation.

The Client acknowledges and accepts that, in addition to the Planning Fee, Unik Travels may earn revenue through commercial markups applied to the prices of the Components of the trip and/or commissions paid by suppliers to Unik Travels. Such compensation forms part of the business model of Unik Travels and does not create any obligation of disclosure or right of claim on the part of the Client.

1.6 Quotation.

Once the itinerary has been approved by the Client, Unik Travels shall prepare a detailed quotation of the Services and Components of the trip (the "Quotation"). The Quotation approved by the Client shall constitute an integral part of this Agreement. In the event that subsequent Quotations are issued as a result of added services, cancellations, modifications, or price changes by suppliers, the most recent version of the Quotation shall supersede all prior versions and shall govern the relationship between the parties.

1.7 Pricing, Availability, and Variations.

(a) Changes prior to Client payment. The Client acknowledges that the prices and availability of the Components of the trip are subject to change without prior notice by the suppliers. If a Component undergoes changes in price or availability before the Client has made the corresponding payment to Unik Travels, Unik Travels shall inform the Client. The Client may accept the new price or decline such Component without any payment obligation.

(b) Changes after Client payment and prior to supplier payment. In the event that the Client has made payment to Unik Travels and, prior to Unik Travels making payment to the supplier, the Component becomes unavailable, Unik Travels shall offer the Client an alternative. If the Client does not accept the offered alternative, the corresponding funds shall be returned to the Client in full. In the event of a price increase, the Client may cover the difference or, if the Client declines, the funds shall be returned in full. In the event of a price decrease after payment, the Client shall be offered the option of receiving a refund of the difference or maintaining such difference as a credit for future services with Unik Travels.

(c) Changes after supplier payment. Once Unik Travels has made payment to the supplier, any change in price, availability, terms, or conditions of the Component shall be governed exclusively by the terms and conditions of the corresponding supplier. Unik Travels shall have no liability whatsoever for such changes.

1.8 Cancellations and Refunds.

(a) Cancellations by the Client. In the event that the Client requests the cancellation of one or more Components of the trip, the eligibility and amount of any refund shall depend exclusively on the terms and conditions of the corresponding supplier. Unik Travels shall pass through to the Client only that which the supplier refunds or, as applicable, the credit issued by the supplier. The Client acknowledges that suppliers may apply cancellation penalties, and therefore the refunded amount or credit balance may be less than the amount originally paid by the Client.

(b) Supplier credits. When a supplier, instead of refunding funds, issues a credit, Unik Travels shall inform the Client of the amount and conditions of such credit as established by the supplier. The Client acknowledges and accepts that such credits are exclusive to the supplier that issued them, are subject to the terms and conditions of such supplier, and are not redeemable for cash, wire transfer, or travel services with Unik Travels or any of its Brands. Unik Travels shall have no obligation to substitute, compensate, or match such credits with other benefits.

(c) Credit card refund processing fee. When the Client has made payments to Unik Travels by credit card and a refund is applicable for any reason, Unik Travels may deduct three percent (3%) of the amount to be refunded for bank processing costs. This fee shall not apply in the circumstances described in Section 1.7(b) of this Agreement, in which case the funds shall be returned to the Client in full.

(d) Planning Fee. The Planning Fee is non-refundable in the event of cancellation of the trip by the Client, as set forth in Section 1.3 of this Agreement.

1.9 Payment Methods.

Payments may be made by: (a) wire transfer or direct deposit to the accounts of Unik Travels as indicated in the Quotation or as communicated by Unik Travels to the Client; or (b) direct payment to the supplier using the bank card details provided by the Client to Unik Travels for such purpose. In both cases, payments shall be made within the timeframes and in the manner set forth in the Quotation.

1.10 Payment Interruptions.

In the event that the Client interrupts or suspends payments, the Components that have not been paid in full shall not be provided and may be automatically canceled by Unik Travels. No refund shall be issued for payments already made, unless the terms and conditions of the suppliers provide for partial refunds, in which case Unik Travels shall pass through to the Client only that which the supplier refunds.

1.11 Credit Terms.

In specific cases and at the sole discretion of Unik Travels, the Client may be offered credit payment terms, which shall be negotiated and agreed upon independently between the parties. The mention of this possibility in this Agreement does not create any obligation on the part of Unik Travels to extend credit to the Client.

1.12 Invoicing.

Upon request by the Client, Unik Travels shall issue an invoice for the payments made by the Client for the Services, which shall comply with all applicable tax and legal requirements. Applicable taxes shall be included in the invoice as required by law.

1.13 Taxes.

The Client shall be responsible for any taxes applicable to the Client in connection with the Services and the Components of the trip. The Client shall pay Unik Travels the fees for the Services without any reduction for taxes.

2. PERSONAL DATA, BANK CARDS, AND PRIVACY

2.1 Collection of Personal Data.

For the provision of the Services, the Client shall provide Unik Travels with personal data, including a copy of a passport, government-issued identification (such as a driver's license, state ID, or other identification issued by a competent authority), whether current or expired, as well as any other data or document that Unik Travels may require. The delivery of such data and documents, together with the acceptance of this Agreement and the Privacy Policy, constitutes the Client's manifestation of consent for the execution of this Agreement.

2.2 Bank Card Data.

When the Client provides bank card data for Unik Travels to make direct payments to suppliers, Unik Travels shall adopt reasonable security and precautionary measures for the safeguarding of such information. Bank card data shall be automatically deleted once the corresponding trip or experience has concluded.

2.3 Cardholder Identity Verification.

When the Client provides bank card data for Unik Travels to make payments to suppliers, the name on the card must match the name of the Client and the name on the identification document with which the Client registered. In the event that the name does not match or the Client fails to provide the corresponding identification, Unik Travels shall not process any payment with such card and shall not be able to fulfill its duties as agent or adequately provide the Services, without any liability to Unik Travels.

2.4 Retention of Personal Data.

The Client's personal data, other than bank card data, shall be retained by Unik Travels for a period of up to five years following the conclusion of the trip or experience, unless the Client expressly requests in writing the destruction of their personal data, in which case Unik Travels shall proceed in accordance with applicable federal and state privacy laws, including the Illinois Personal Information Protection Act (PIPA).

2.5 Use of Data for Marketing Purposes.

By accepting this Agreement, the Client authorizes Unik Travels to use their personal data for marketing, advertising, and commercial prospecting purposes, in accordance with the Privacy Policy of Unik Travels and applicable federal and state privacy laws. The Client may at any time opt out of marketing communications by notifying Unik Travels in writing or through the mechanisms established in the Privacy Policy published on the Website.

2.6 Client Representations.

The Client represents that: (a) the data and identification documents provided are truthful and belong to the Client; (b) the Client has all necessary authorizations to share such data; (c) the bank cards whose data are provided belong to the Client or the Client has the cardholder's authorization for their use; (d) the funds used to pay for the Services and the Components of the trip are from lawful sources; and (e) the Client understands and accepts the risks involved in the transmission of data of this nature.

3. TRAVEL REQUIREMENTS AND CLIENT DOCUMENTATION

3.1 Client Responsibility.

It is the sole and exclusive responsibility of the Client to comply with all entry, transit, and exit requirements of the countries included in the travel itinerary, including but not limited to:

(a) Holding a passport with a minimum validity of six months beyond the return date of the trip;

(b) Obtaining all necessary visas for entry into the countries that form part of the itinerary;

(c) Complying with vaccination requirements, health certificates, or medical tests required by the authorities of the destination or transit countries;

(d) Obtaining Electronic Travel Authorizations (ETAs), entry permits, or other applicable immigration requirements; and

(e) Any other requirement imposed by the corresponding governmental authorities.

3.2 Absence of Liability of Unik Travels.

Unik Travels shall not be liable in the event that the Client is denied boarding, entry, transit, or stay in any country for failure to comply with the requirements set forth in Section 3.1. In such cases, the Client shall not be entitled to any refund, compensation, or reimbursement from Unik Travels with respect to the affected Components of the trip. All additional expenses arising from the Client's failure to comply with such requirements shall be the Client's sole responsibility.

3.3 Assistance.

Notwithstanding the foregoing, Unik Travels may, at the Client's request, assist the Client in managing the travel requirements mentioned above. Such assistance shall be provided as an additional service, the costs of which shall be borne entirely by the Client, and shall not in any case constitute an obligation or liability of Unik Travels or any of its Brands with respect to compliance with such requirements.

4. DELIVERY OF TRAVEL DOCUMENTATION

4.1 Travel Folder.

Once Unik Travels has completed the organization of the trip or experience and the Client has made all corresponding payments in full, Unik Travels shall deliver to the Client a folder, in either digital or printed format, containing the organized itinerary, as well as the details and documentation of all reservations, flights, accommodations, activities, and other Components of the trip or experience (the "Travel Folder"). The Travel Folder shall be delivered within a period of one to fifteen calendar days prior to the start date of the trip. In exceptional cases, such as trips organized on short notice, delivery may be made on the same day as the start of the trip. Likewise, Unik Travels may, at its discretion, make delivery earlier than the stated timeframe.

4.2 Approval and Acceptance.

Once the Travel Folder has been delivered, the Client shall review its contents and notify Unik Travels of any objection or disagreement no later than the following business day after the date of delivery. If such period elapses without the Client having raised any objection, it shall be understood that the Client has approved and is satisfied with the contents of the Travel Folder and with all Components of the trip. From that point forward, responsibility for the Components shall rest exclusively with the Client and the corresponding suppliers.

4.3 Completion of Services.

The delivery of the Travel Folder shall constitute the completion of the organizational Services under this Agreement. At that time, the outstanding balance of the Planning Fee shall be paid by the Client, along with any other pending compensation owed to Unik Travels.

5. TRIP COMPONENTS

5.1 Definition.

For purposes of this Agreement, "Components" means any reservation, flight, accommodation, tour, transportation, service, activity, excursion, meals, travel insurance, and/or any other service that Unik Travels has contracted on behalf of and for the account of the Client as part of the Services.

5.2 Exclusions.

The following shall not be considered Components and therefore shall not be subject to these Terms and Conditions or the Services: (a) any reservation, flight, accommodation, tour, transportation, service, activity, excursion, or meals that the Client has contracted directly on their own, even if based on a suggestion or recommendation of Unik Travels; and (b) any service or experience not expressly included in the current Quotation.

6. LIABILITY OF UNIK TRAVELS

6.1 Scope and Limitation of Liability.

Unik Travels undertakes to deliver to the Client the Components of the trip as described in the current Quotation. In the event that, due to causes exclusively attributable to Unik Travels, a Component is not delivered as contracted, the liability of Unik Travels shall be limited to, at the election of Unik Travels: (a) refunding to the Client the amount paid for the affected Component; or (b) providing the Client with a similar or equivalent Component to the one originally contracted.

When an error attributable to Unik Travels in one Component results in the impairment of other Components of the trip that the Client cannot utilize as a direct consequence of such error, Unik Travels shall also be liable to compensate such affected Components, either by refunding the amount paid for each or by providing a similar or equivalent service, at the election of Unik Travels.

In no event shall the total liability of Unik Travels exceed the value of the Components directly affected by an error exclusively attributable to Unik Travels, as set forth in the current Quotation.

6.2 Absence of Liability.

Unik Travels shall have no liability in the following circumstances:

(a) When the Components have been delivered in accordance with the Quotation and the Client expresses dissatisfaction for reasons of personal preference, taste, or subjective expectation;

(b) When a supplier cancels, modifies, delays, or alters a Component for reasons beyond the control of Unik Travels, including but not limited to flight cancellations by airlines, room or category changes by hotels, tour cancellations due to weather conditions, and any other circumstances attributable to the supplier or third parties;

(c) When the Client fails to comply with the travel requirements set forth in Section 3 of this Agreement; and

(d) When deficiencies in services are attributable to the suppliers of the Components and not to Unik Travels.

6.3 Goodwill Assistance.

In the circumstances described in Section 6.2(b), Unik Travels may, without any obligation to do so, make efforts with suppliers to minimize the impact on the Client's experience. Any such efforts made by Unik Travels shall be understood as an act of goodwill and courtesy, and shall not create any liability, precedent, or future obligation for Unik Travels or any of its Brands.

7. FORCE MAJEURE

7.1 Definition.

For purposes of this Agreement, force majeure shall mean any event or circumstance beyond the reasonable control of Unik Travels, including but not limited to: natural disasters, earthquakes, hurricanes, floods, volcanic eruptions, pandemics, epidemics, health emergencies, wars, armed conflicts, acts of terrorism, civil unrest, strikes, labor stoppages, blockades, governmental restrictions, travel bans, border closures, mass flight cancellations, disruptions in telecommunications or infrastructure services, and any other event of a similar nature.

7.2 Effects.

Unik Travels shall not be liable for any failure, delay, or inability to provide the Services or deliver the Components of the trip that is a direct consequence of a force majeure event. In such circumstances, the Client shall not be entitled to any compensation, indemnification, or penalty against Unik Travels.

7.3 Cancellations and Refunds Due to Force Majeure.

In the event that a force majeure event prevents the total or partial completion of the trip, refunds, credits, or rescheduling shall be governed exclusively by the terms and conditions of the suppliers of each affected Component. Unik Travels shall pass through to the Client only that which each supplier refunds or credits, without any obligation to contribute its own funds or guarantee any refund amount. The Planning Fee shall not be refundable in such cases, as the planning and organizational Services will have already been rendered.

8. TERM AND TERMINATION

8.1 Term of the Agreement.

The term of this Agreement shall commence on the Effective Date and shall continue until: (a) the Services have been fully rendered and the Client has paid all agreed-upon compensation; or (b) this Agreement is terminated in accordance with this Section. The indemnification, confidentiality, and intellectual property obligations set forth in this Agreement shall survive the termination hereof.

8.2 Termination for Breach.

Either party may terminate this Agreement for cause if the other party breaches any material obligation hereunder and fails to cure such breach within thirty (30) calendar days after receipt of written notice via email.

8.3 Termination by Mutual Agreement.

This Agreement may be terminated at any time by mutual written agreement of both parties.

8.4 Termination by the Client.

The Client may terminate this Agreement at any time by providing written notice to Unik Travels. In the event of early termination by the Client: (a) the Planning Fee shall be non-refundable; (b) Components already paid to suppliers shall be subject to the cancellation and refund terms of each supplier as set forth in Section 1.8 of this Agreement; and (c) the Client shall pay any outstanding compensation owed to Unik Travels.

8.5 Right of Rescission.

Provided that Unik Travels has not yet commenced the provision of the Services, the Client shall have the right to rescind this Agreement within three (3) business days following the Effective Date, without liability or justification, in accordance with the applicable provisions of the Federal Trade Commission's Cooling-Off Rule and any applicable state consumer protection laws.

9. DISCLAIMER OF WARRANTIES

EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UNIK TRAVELS MAKES NO WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, WITH RESPECT TO THE COMPONENTS OF THE TRIP, THE SERVICES OF THE SUPPLIERS, OR THE CLIENT'S EXPERIENCE DURING THE TRIP.

UNIK TRAVELS DOES NOT WARRANT THAT THE SUPPLIERS OF THE COMPONENTS OF THE TRIP WILL PROVIDE THEIR SERVICES IN AN UNINTERRUPTED, ERROR-FREE MANNER OR IN ACCORDANCE WITH THE CLIENT'S EXPECTATIONS. THE CLIENT ACKNOWLEDGES THAT ANY CLAIM REGARDING THE QUALITY, PERFORMANCE, OR DEFICIENCY OF THE COMPONENTS SHALL BE DIRECTED TO THE CORRESPONDING SUPPLIER.

10. LIMITATION OF LIABILITY

10.1 Limitation of Indirect Liability.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UNIK TRAVELS SHALL NOT BE LIABLE UNDER THIS AGREEMENT FOR LOST REVENUES, LOST PROFITS, EMOTIONAL DISTRESS, OR FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, REGARDLESS OF THE CAUSE, WHETHER ATTRIBUTABLE TO THE CLIENT, THE SUPPLIERS OF THE COMPONENTS, OR ANY THIRD PARTY OTHER THAN UNIK TRAVELS.

10.2 Maximum Liability Cap.

THE TOTAL AND CUMULATIVE LIABILITY OF UNIK TRAVELS UNDER THIS AGREEMENT, FOR ANY CAUSE WHATSOEVER, SHALL IN NO EVENT EXCEED THE VALUE OF THE COMPONENTS DIRECTLY AFFECTED BY AN ERROR EXCLUSIVELY ATTRIBUTABLE TO UNIK TRAVELS, AS SET FORTH IN THE CURRENT QUOTATION.

11. INDEMNIFICATION

11.1 By the Client.

To the maximum extent permitted by applicable law, the Client shall defend, indemnify, and hold harmless Unik Travels, its Brands, its Affiliates, members, employees, officers, directors, and agents from and against all claims, demands, adverse judicial rulings, losses, injuries, costs, expenses, legal and/or extrajudicial proceedings, and damages, including reasonable attorneys' fees (collectively, "Claims"), to the extent that such Claims arise from: (a) the Client's breach of this Agreement; (b) the unlawful use of the Services; (c) the falsity or inaccuracy of the Client's representations contained in this Agreement; or (d) any act or omission of the Client during the trip or experience.

For purposes of this Agreement, "Affiliate" means any entity that directly or indirectly controls, is controlled by, or is under common control with Unik Travels.

12. GENERAL PROVISIONS

12.1 Representations and Warranties.

Each party represents and warrants that: (a) it has full power and authority to enter into this Agreement; and (b) it complies with all applicable laws and regulations.

12.2 Notices.

Notices to the Client shall be sent to the last mailing address or email address provided by the Client to Unik Travels. The Client undertakes to notify Unik Travels of any change of address or email address within three (3) business days of such change. In the event of failure to comply with this obligation, notices shall be deemed validly delivered to the last known address or email address. The address and email address for notices to Unik Travels shall be those published on the Website. Notice shall be deemed received upon receipt, verified by written or automated acknowledgment or electronic record.

12.3 Assignment.

The Client may not assign any rights or obligations under this Agreement or under the Quotation, in whole or in part, without the prior written consent of Unik Travels. Unik Travels may freely assign its rights and obligations under this Agreement to any of its Affiliates or Brands.

12.4 Severability.

If any provision of this Agreement or of the Quotation is declared void or invalid by a court of competent jurisdiction, such provision shall be deemed severable and shall not affect the validity or enforceability of the remaining provisions of this Agreement.

12.5 Governing Law and Jurisdiction.

This Agreement shall be governed by and construed in accordance with the laws of the State of Illinois, United States of America, without regard to its conflict of laws principles. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in Cook County, Illinois, and each party irrevocably submits to the jurisdiction of such courts and waives any objection to venue therein.

12.6 Conflicting Terms.

In the event of any conflict between the provisions of this Agreement and the terms and conditions published on the Website of Unik Travels, the provisions of this Agreement and the current Quotation shall prevail.

12.7 Confidentiality.

(a) The Client undertakes to maintain in strict confidence and not to disclose, reproduce, share, or transmit to third parties, whether individuals, entities, travel agencies, or other companies, the contents of the itineraries, Quotations (whether approved or not), Travel Folders, and any other documents, proposals, or materials that Unik Travels has provided as part of the Services (the "Confidential Information").

(b) The Confidential Information may only be shared by the Client with the persons who will participate directly in the corresponding trip or experience and who are identified in the Quotation.

(c) The confidentiality obligation shall survive the term of this Agreement for a period of five (5) years following its termination.

12.8 Intellectual Property.

The itineraries, proposals, travel designs, quotations, creative materials, and any other documents prepared by Unik Travels as part of the Services are the exclusive intellectual property of Unik Travels and its Brands. Their reproduction, distribution, or commercial use is prohibited without the prior written consent of Unik Travels. The Client acquires only a personal and limited right of use for the contracted trip or experience.

12.9 Non-Solicitation of Suppliers.

The Client agrees not to contact, engage, or negotiate directly with any suppliers of the Components of the trip that were introduced or managed by Unik Travels as part of the Services, for the purpose of contracting identical or similar services, during the term of this Agreement and for a period of two (2) years following the conclusion of the corresponding trip or experience.

12.10 Liquidated Damages.

In the event of a breach by the Client of the obligations set forth in Sections 12.7 and/or 12.9 of this Agreement, the Client agrees to pay Unik Travels, as liquidated damages and not as a penalty, an amount equal to twenty percent (20%) of the total value of the Quotation for the corresponding trip, per violation. The parties acknowledge that the actual damages for such breaches would be difficult to ascertain and that this amount represents a reasonable estimate of such damages. The payment of such liquidated damages shall not relieve the Client of liability for any additional damages caused by the breach, which may be claimed independently.

12.11 Travel Insurance.

Unik Travels strongly recommends that the Client purchase a comprehensive travel insurance policy covering, at a minimum, medical expenses, trip cancellation, lost luggage, and repatriation. The purchase of such insurance is the sole responsibility of the Client. In the event that the Client chooses not to purchase travel insurance, the Client assumes at their own risk and expense all economic and personal consequences that may arise from any contingency during the trip. Unik Travels may offer travel insurance options as part of the Services, without any obligation to do so.

12.12 Minors.

In the event that the trip includes minors, the Client represents that the Client holds parental authority, guardianship, or the corresponding legal authorization to include such minors in the trip and to accept this Agreement on their behalf. The Client shall be solely responsible for complying with all legal and immigration requirements applicable to the travel of minors, including any required notarized travel consent or court orders.

12.13 Currency Risk.

Quotations may be denominated in United States dollars, Mexican pesos, or other currencies depending on the trip or experience in question. The Client acknowledges and accepts that fluctuations in exchange rates between the date of the Quotation and the date of payments may result in differences in the amounts payable, which shall be the sole responsibility of the Client. Unik Travels shall apply the exchange rate in effect at the time of each transaction and shall not be obligated to maintain previously quoted exchange rates.

12.14 Electronic Communications.

The Client consents that all communications, notices, Quotations, Travel Folders, and other documents related to the Services may be sent by electronic means, including but not limited to email, instant messaging applications such as WhatsApp, digital platforms of Unik Travels, SMS messages, and social media. This list is not exhaustive and Unik Travels may use any electronic means it deems appropriate. The Client acknowledges that such electronic communications shall have the same legal validity as communications in physical format.

12.15 Alternative Dispute Resolution.

Before initiating any legal proceeding, the parties agree to attempt in good faith to resolve any dispute arising from this Agreement through direct negotiation for a period of thirty (30) calendar days from the date of notice of the dispute. If the parties are unable to reach an agreement, they may submit the dispute to mediation before a mediation center located in Chicago, Illinois, the costs of which shall be shared equally. If the dispute is not resolved through mediation, the parties may resort to the courts of competent jurisdiction as set forth in Section 12.5.

12.16 Use of Image and Testimonials.

The Client authorizes Unik Travels and any of its Brands to use, on a non-exclusive basis and without compensation, photographs, reviews, testimonials, and comments that the Client voluntarily shares with Unik Travels or publishes on social media referencing Unik Travels or any of its Brands, for advertising and promotional purposes. The Client may revoke this authorization at any time by providing written notice to Unik Travels.

12.17 Claims and Complaint Period.

Any claim or complaint by the Client regarding the Components of the trip or the Services must be submitted in writing to Unik Travels within thirty (30) calendar days following the conclusion of the trip or experience. If such period elapses without the Client having submitted a claim, it shall be understood that the Client is satisfied with the Services rendered and with all Components of the trip, and the Client shall not be entitled to submit any subsequent claim against Unik Travels.

12.18 Client-Requested Itinerary Modifications.

Any modification to the itinerary or to the Components of the trip requested by the Client after the approval of the Quotation may be subject to additional costs, including supplier penalties, fare differences, and administrative charges by Unik Travels. Unik Travels shall inform the Client of such costs before proceeding with the modification, and the Client must expressly approve them. Unik Travels does not guarantee that requested modifications will be possible, as they are subject to the availability and terms of the suppliers.

12.19 High-Risk Travel.

In the event that the trip or experience includes high-risk activities, such as but not limited to extreme sports, safaris, scuba diving, mountaineering, expeditions, or similar activities, the Client acknowledges and voluntarily assumes the inherent risks of such activities. Unik Travels shall not be liable for any accidents, injuries, damages, or losses arising from the Client's participation in such activities, which are undertaken at the sole risk of the Client and the corresponding suppliers.

12.20 Third-Party Data Protection.

When the Client provides Unik Travels with the personal data of third parties who will participate in the trip, the Client represents and warrants that the Client has obtained the express consent of such third parties to share their personal data with Unik Travels and has made available to them the Privacy Policy of Unik Travels. The Client shall be solely liable to such third parties for any claim arising from the delivery of their personal data without their consent.

12.21 Quotation Validity.

Quotations issued by Unik Travels shall have a limited validity period as specified in each Quotation. If the validity period expires without the Client having accepted the Quotation, the prices, availability, and conditions contained therein shall become null and void and Unik Travels shall not be obligated to maintain them. If the Client wishes to proceed with the engagement after the expiration of the Quotation, Unik Travels shall issue a new Quotation with the prices and conditions in effect at that time.

12.22 Anti-Corruption and Legal Compliance.

The Client represents that in the execution and performance of this Agreement, the Client shall act in compliance with all applicable laws regarding anti-corruption, anti-money laundering, and counter-terrorism financing. The Client shall refrain from using the Services of Unik Travels for any unlawful purpose. Unik Travels reserves the right to terminate this Agreement immediately and without liability in the event that it has reasonable grounds to believe that the Client is using the Services for unlawful purposes or in violation of applicable laws.

12.23 Additional Client Obligations.

The Client shall be solely responsible for the proper use and management of information obtained from the Website and derived from the Services. The Client shall at no time make unlawful use of the Services provided by Unik Travels, and hereby releases Unik Travels to the fullest extent permitted by law from any liability incurred in the event of an unlawful act by the Client.

12.24 Modifications to the Agreement.

Unik Travels may make changes to this Agreement from time to time. Material changes to the Agreement shall be notified to the Client at the last email address provided by the Client and shall become effective upon notification, unless Unik Travels specifies a different date.

12.25 Entire Agreement.

This Agreement, together with the current Quotation, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, negotiations, representations, and understandings, whether oral or written, between the parties with respect to the same subject matter.
